By accessing or using the UrFunded website (urfunded.com) or any of our services, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms applicable to specific services. If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and UrFunded ("Company," "we," "our," or "us"). We reserve the right to modify these Terms at any time. Continued use of our services after any modification constitutes acceptance of the updated Terms.

UrFunded is a business funding marketplace and advisory service. We connect business owners with a network of 3,000+ lending partners to help them secure business financing. Our services include:

• Funding Matchmaking: Analyzing your business profile and connecting you with appropriate lenders from our network.
• Advisory Services: Providing guidance on funding options, application preparation, and lender requirements.
• Home Improvement Financing: Facilitating point-of-sale financing for homeowners and contractors through our lending network.
• Educational Resources: Providing information about business financing options, credit improvement, and financial management.

Important: UrFunded is not a lender. We do not make credit decisions or fund loans directly. All lending decisions are made by our third-party lending partners. We act as a licensed broker connecting borrowers with lenders.

To use our services, you must:

• Be at least 18 years of age.
• Be a legal resident or citizen of the United States, or a legally registered business entity in the United States.
• Have the legal authority to bind any business entity on whose behalf you are applying.
• Not be prohibited from receiving our services under applicable law.
• Provide accurate, complete, and truthful information in all applications and communications.

We reserve the right to refuse service to anyone for any lawful reason.

When submitting a funding application or any other information to UrFunded, you represent and warrant that:

• All information provided is true, accurate, current, and complete.
• You are authorized to provide all business and financial information submitted.
• You have the legal right to upload and share any documents submitted (bank statements, tax returns, credit reports, etc.).
• You will promptly update any information that becomes inaccurate or outdated.

Misrepresentation Warning: Providing false or misleading information in connection with a funding application may constitute fraud under federal and state law and may result in criminal prosecution. UrFunded reserves the right to report suspected fraud to appropriate authorities.

UrFunded operates as a licensed broker (DRE License # 02282830). Our compensation model works as follows:

No Upfront Fees: UrFunded does not charge borrowers any upfront application fees or advisory fees for our standard matchmaking services.

Broker Compensation: We receive compensation from lending partners when a funding transaction is successfully completed. This compensation is paid by the lender, not the borrower, unless otherwise disclosed in writing.

Transparency: We will disclose any fees, commissions, or compensation arrangements that may affect your funding terms before you finalize any agreement with a lender.

Third-Party Lender Fees: Lending partners may charge their own origination fees, processing fees, or other costs. These will be disclosed in the lender's loan agreement and are separate from UrFunded's compensation.

UrFunded does not guarantee that you will receive funding, that any particular lender will approve your application, or that you will receive any specific funding amount or terms. Funding decisions are made solely by our lending partners based on their own underwriting criteria.

Submitting an application through UrFunded does not constitute a commitment to lend, and pre-qualification estimates provided through our funding calculator or advisory services are not binding offers of credit.

By submitting a funding application, you expressly authorize UrFunded and its lending partners to:

• Obtain consumer and/or business credit reports from one or more credit reporting agencies.
• Verify your identity and business information through third-party data sources.
• Share your application information with lending partners for the purpose of evaluating your funding request.

You acknowledge that credit inquiries may appear on your credit report and that hard inquiries from lenders may temporarily affect your credit score.

All content on the UrFunded website, including but not limited to text, graphics, logos, images, software, and the overall design, is the property of UrFunded or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from our website without our prior written consent. The UrFunded name, logo, and all related marks are trademarks of UrFunded.

You agree not to use our services to:

• Submit false, fraudulent, or misleading information.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Violate any applicable federal, state, or local law or regulation.
• Transmit any malicious code, viruses, or other harmful software.
• Attempt to gain unauthorized access to any part of our systems or networks.
• Use automated tools (bots, scrapers, crawlers) to access our services without written permission.
• Engage in any activity that interferes with or disrupts our services.
• Use our services for any purpose that is unlawful or prohibited by these Terms.

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, URFUNDED DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information provided through our services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, URFUNDED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising from your use of our services shall not exceed the greater of (a) the amount you paid to UrFunded in the twelve months preceding the claim, or (b) $100.

You agree to indemnify, defend, and hold harmless UrFunded and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any information you submit through our services.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court, except that either party may seek injunctive or other equitable relief in court for claims involving intellectual property rights.

Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not as a class, collective, or representative action.

Venue: For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in California.

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use our services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
